i tracked it down to this:

i did manage to work around it by adding the modprobe lines in the xend init
script (see the bz link above), plus i had to build a new initrd with the
xenblk module in order to boot my ubuntu domU:
mkinitrd --preload=xenblk /boot/initrd.img `uname -r`
now it seems to be working fine, i have access to 6gb ram and everything
starts as it should.
