Any ideas whats going on ??

Possibly the initrd is not being built. Did you run mkinitrd after
building the new kernel? Something like:
mkinitrd -v -f /boot/initrd-2.4.22-1.2149.nptl.img \
2.4.22-1.2149.nptlcustom
